1.Acceptance of Terms

By accessing or using Criat's website, platform, products, or services (collectively, the "Information"), you agree to be bound by these Terms of Use. If you do not agree, you must not access or use the Information. These Terms apply to all users of the Information, including visitors to our website and licensed subscribers.

2.Proprietary Information

All products, services, software, and data provided by Criat constitute proprietary Information belonging to Criat and/or its licensors. You may only use the Information for your own internal business purposes. You must not copy, share, redistribute, or modify the Information without Criat's prior written consent, and must take reasonable measures to protect it from unauthorized access or use.

3.License to Use

Criat grants you a limited, non-exclusive, non-transferable license to use the Information for internal business purposes only. You must not use the Information to develop or offer products or services that compete with those of Criat, nor may you use it in a way that would eliminate the need for others to obtain a separate license from Criat. You may include limited excerpts of the Information in internal reports and presentations, provided appropriate credit is given to Criat.

4.Not Investment Advice

The Information, including probability of default estimates and derived credit metrics, represents an analytical opinion and is not a recommendation to buy, sell, or hold any securities or financial instruments. You are solely responsible for making your own investment decisions with due care. Criat is not a financial advisor and does not owe you a duty of care. You must not rely on the Information as investment advice, nor use Criat's name to imply endorsement of any investment decision or activity. Criat's products and services are designed for sophisticated institutional users and are not intended for retail investors.

5.Disclaimer of Warranties

The Information is provided "as is" without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Criat and its licensors do not warrant the accuracy, completeness, or timeliness of the Information. In the event of an error, Criat will use commercially reasonable efforts to provide corrected Information, but does not guarantee the accuracy or completeness of any correction.

6.Limitation of Liability

Criat shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or goodwill — arising out of or in connection with your use of or inability to use the Information, even if Criat has been advised of the possibility of such damages. This limitation applies to all claims whether based on contract, tort, negligence, strict liability, or any other legal theory, including damages caused by errors, omissions, delays, or interruptions in the Information.

7.Third-Party Data

Criat relies on third-party data providers for portions of the Information. Criat is not responsible for any delays, interruptions, or inaccuracies in Information caused by such providers. Criat may add, replace, or remove third-party data sources at any time. You must use any third-party materials included in the Information only for your own internal purposes and not for creating competing databases or similar products.

8.Regulatory Compliance

Your use of the Information is subject to applicable legal and regulatory requirements in your jurisdiction. These requirements may change over time. Criat may update these Terms to reflect such changes with reasonable prior notice. It is your responsibility to ensure that your use of the Information complies with all laws and regulations applicable to you.

9.Force Majeure

Criat shall not be liable for any failure or delay in the provision of services resulting from circumstances beyond its reasonable control, including strikes, natural disasters, governmental actions, or other force majeure events. Criat will use reasonable efforts to resume normal service as soon as practicable following any such event.

10.Intellectual Property

All intellectual property rights in the Information — including Criat's credit risk models, methodology, software, and data — remain the exclusive property of Criat and its licensors. Nothing in these Terms grants you any ownership rights. You must not reverse-engineer, decompile, or attempt to derive the underlying methodology of any Criat product or service.

11.Dispute Resolution

Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith discussion within thirty (30) days shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules then in force. The seat of arbitration shall be Singapore. The arbitration shall be conducted in English before a single arbitrator appointed by the Chairman of the SIAC.

12.Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

13.Changes to These Terms

Criat may update these Terms of Use from time to time. Revised versions will be posted on this page with a new "Last Updated" date. Your continued use of the Information following any update constitutes your acceptance of the revised Terms.
